The applicability and effects of the\u00a0<em>BVI Business Companies (Amendment) Act,<\/em> 2022 (No. 6 of 2022), listed below, will take effect on January 1, 2023.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Among the main points, we highlight:<\/h2>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Publicly Available Register of Directors**: The register of directors, which contains the names of individuals who make up the board of directors of a BVI-based company, will be public. Access to this register will be available for searches linked solely through the company name and upon payment of a service fee, intended for legitimate interest in identifying directors.<br><\/li>\n\n\n\n<li>Mandatory delivery of\u00a0<em>Annual Report<\/em>\u00a0(Balance) - It is defined by the new Law that all structures based in the British Virgin Islands must submit their respective financial statements for fiscal years within 9 months from the beginning of their fiscal period, in order to remain compliant with local legislation.<br><\/li>\n\n\n\n<li>Significant Control Members' Disclosure**: A legal framework is introduced regarding the registration and transmission of information related to individuals who hold significant control over companies in the British Virgin Islands, including directors, administrators, representatives, or shareholders.<br><\/li>\n\n\n\n<li>Abolition of Bearer Shares <em>Bearer share<\/em> Bearer shares cannot be issued and existing ones must be redeemed or converted into registered shares <em>Registered shares<\/em>.<br><\/li>\n\n\n\n<li>End of the Regime\u00a0<em>Removed from the register<\/em>\u00a0\u2013 Companies that fall into the status of <em>\u201cRemoved\u201d<\/em> (frozen company), for non-regularization of government fees, will be automatically dissolved after the publication of a notice regarding the notification <em>Scrap notice<\/em>.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\"><br>It is crucial to emphasize that due to constant changes in each country traditionally used for internationalization, it is necessary for entrepreneurs\/investors to be supported by specialists who can manage their international legal structure obligations with due diligence.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">It's time!
